Nick Humphrey

Managing Partner

Nick is managing partner of Hamilton Locke.  He has been recognised as one of Australia's leading private equity and M&A lawyers, including Chambers Asia - Private Equity, Best Lawyer - Private Equity, Best Lawyer - Venture Capital, Doyles - recommended for M&A, Legal500 - ranked for M&A, Dealmaker of the Year and ACQ Australian M&A Team of year.

He has advised on hundreds of deals in his distinguished 25 year legal career. Major clients include CHAMP Ventures, Mercury Capital, Macquarie Bank, Pemba Capital and Anacacia Capital.  Recent deals include buyout of Mac Pac, sale of Cassons, buyout of Lorna Jane, sale of Gloria Jeans and the IPO of Kelly & Partners.

 

Nick is also the author of a number of best-selling books on business, law and leadership including "Maverick Executive: Strategies for Driving Clarity, Effectiveness and Focus"; "Penguin Small Business Guide", “Negotiated Acquisitions and Buyouts”, and the "Australian Private Equity Handbook" (CCH).

Nick previously worked for K&L Gates as Global Co-Head of M&A, he was a partner and Head of Private Equity for Norton Rose and worked in London for Clifford Chance.

Hal has more than 20 years' experience in mergers and acquisitions, private equity, capital raising and distressed transactions across a number of industry sectors.

 

Hal has been recognised for his expertise in a broad range of areas, including AFR Best Lawyer and Legal 500 Asia Pacific for Restructuring and Distressed Investing and Legal 500 Asia Pacific for Mergers & Acquisitions.

 

Hal was previously a partner at Baker & McKenzie and also worked at King & Wood Mallesons and Latham & Watkins

John Frangi

John is a property partner specialising in property development, leasing, sales, acquisitions and dispute resolution. With over 20 years’ experience within an ASX top listed Company and private practice, John is experienced in mergers & acquisitions, construction, environmental, planning, litigation and corporate governance.

 

John is a highly skilled negotiator who is able to negotiate large and complex transactions and resolve issues at all levels within the private and public sector.

Brent Delaney

Partner

Brent specialises in mergers and acquisitions and capital markets. Brent has a broad corporate finance practice that includes public company acquisitions, private equity transactions, venture capital investments and fund structuring, distressed mergers and acquisitions and alternative finance transactions.

 

Brent has worked across a broad range of industry sectors, including mining, agribusiness, technology,
retail and government.

Zina Edwards

Partner

Zina has extensive experience advising major trading and investment banks, syndicates, funds and public companies in relation to various high profile and complex financial turnarounds, restructurings and special situations.

Zina has worked on a large number of distressed and performing portfolio sale transactions in Australia and across Asia, acting for both purchasers and sellers. She also specialises in debt trading and alternative finance transactions and has acted for a wide range of funds and alternative capital providers.

 

Zina previously worked in the restructuring, turnaround and insolvency team of Herbert Smith Freehills in Sydney.
She has also worked in the London and Moscow office of Allen & Overy as part of the global restructuring group.

Gordon McCann

Partner

Gordon is a corporate transactional partner primarily involved in private treaty mergers and acquisitions in the

Australian mid-market.  He has extensive experience in negotiating complex acquisitions, divestments and investments and is highly valued for his technical ability and commercial acumen.  Gordon has a broad practice ranging from private equity funds (Quadrant Private Equity and Mercury Capital) to blue chip corporates or founders. 

 

Gordon also has specific industry expertise in warranty and indemnity insurance having advised global insurance companies on hundreds of insured M&A transactions. 

 

Gordon was previously a partner at K&L Gates and also worked at Sparke Helmore and Baker & McKenzie.

Patricia Paton

Partner

Patricia is a capital markets specialist. Having worked in the Australian and UK markets, Patricia has been involved in some of the most complex and high-profile initial public offerings and other capital market transactions in recent years.

 

Patricia's experience includes advising issuers, underwriters and managers across the full ambit of capital market transactions in both the listed and unlisted space: pre-IPO raisings, initial public offerings, issuances of hybrid securities, convertible note and debt offers, accelerated and traditional entitlement offers, placements, share purchase plans and dividend reinvestment plans.

 

Complementing this is Patricia's deep understanding of the regulatory landscape, including the ASX Listing Rules, continuous disclosure requirements, corporate governance, executive and employee incentive arrangements, and private company mergers and acquisitions.

Brad Allen

Partner

Brad is a Partner in Hamilton Locke's Banking & Finance Team, specialising in corporate and institutional finance. Brad has over 15 years’ experience in the industry and has acted for financiers and major corporations on a range of syndicated, leveraged, property and other debt financing transactions.

Brad's  experience includes the full range of facilities to support a range of corporate clients including clients in the construction industry who have significant performance and surety bond requirements, financial services clients in relation to various secured facilities and financiers providing facilities to some of Australia's major retailers.

Brad was previously a partner at Gadens and Clayton Utz .

Brendan Ivers

Partner

Brendan is independently recognised as a 'leading lawyer' (Chambers Asia Pacific Guide 2014 – 2019) in the field of investment funds, and acts for fund managers in a wide range of commercial transactions. His work includes structuring and advising on property funds (wholesale and retail), preparing product disclosure statements/offer documents, joint venture agreements and other commercial agreements in relation to complex acquisition and funding arrangements, the application of the Corporations Act and ASIC regulatory policy.

 

Brendan assists both established fund managers and new participants in the industry.  His broad industry involvement includes appointment to the Property Council of Australia Unlisted Funds Roundtable Committee and the Federal Treasury private consultation group for the new collective investment vehicle regime.

 

Marcus Cutchey

Marcus has over 17 years' experience in property acquisitions and disposals, commercial, retail and industrial leasing, and property development, in both Australia and the UK.

Known for his commercial and pragmatic approach, his clients include funds management groups, developers and investors.

 

Prior to joining Hamilton Locke, Marcus worked in London, Sydney, Melbourne and Perth.

Monica Hii

Special Counsel

Monica has over 15 years' experience in property law and focuses on commercial leasing. She advises landlords and shopping centre owners on leasing and general property matters and assists tenants with negotiating and finalising leases.

 

She has experience in off the plan sales and business sales, and has also advised major banks and government bodies. Monica speaks Mandarin and Cantonese and is also admitted to the High Court of Sabah and Sarawak, Malaysia.

Lauren Cloete

Senior Associate

Lauren is a senior associate in our finance team with experience in debt finance transactions, including asset finance transactions, vendor finance transactions, property finance transactions, corporate lending transactions and leveraged finance transactions.

 

Lauren acts for financial institutions as well as corporate clients, both locally and internationally, and has participated in a number of cross-border transactions and due diligence investigations.

Abigail Cowled

Senior Associate

Abigail is a banking and finance lawyer with Hamilton Locke. She has been nationally recognised as a nominee and runner up for the Australian Women in Law awards and the Law Society's 'Thirty under Thirty' in Banking Law.

Abigail has a broad range of financing experience with a particular focus on project and infrastructure financing and mining, energy and resources financing. 

Joshua Bell

Josh is a lawyer in our corporate team who advises on public and private M&A, capital markets transactions, private equity and general corporate and commercial law.

 

Prior to joining Hamilton Locke, Josh worked for a boutique Asian investment bank focused on Sino-foreign transactions particularly in Australia, the United Kingdom and the United States. He has strong experience in a range of sectors, including food and beverage, education, technology, healthcare and infrastructure.

Monty Loughlin

Senior Associate

Monty is experienced in advising financial institutions and funds, strategic investors and creditors, public companies and insolvency practitioners in financial turnarounds, distressed transactions, restructurings, formal insolvencies, and related disputes.

 

He combines his understanding of formal insolvency processes with his experience in special situations to structure transactions across a broad range of sectors.

Chafeka is a Senior Associate in the property team with extensive experience in commercial and residential property transactions.

 

Chafeka has worked both in-house for a large ASX listed corporation and in private practice on a diverse range of property transactions including M&A, acquisitions and sales and leasing (including large format leasing). Her experience spans across the retail, office and industrial sectors.

Amelia Schubach

Amelia is a lawyer in both our Banking and Finance team, advising on acquisition and leveraged finance, and our Corporate team, including M&A, private equity and general corporate transactions. Amelia’s experience includes working as a banking and finance lawyer at a large global firm, advising debt funds, global investment banks and corporate borrowers. She has worked in Sydney, Perth, Tokyo and Ho Chi Minh City.

 

Amelia is also leading Hamilton Locke’s inaugural Community and Pro Bono Program, working with organisations to maximise impact in addressing important social issues, including barriers to access and world hunger.

Morgan Sheargold

Prior to joining Hamilton Locke, Morgan worked at Ashurst across both the corporate and property practice groups. Her research on statutory unconscionability, misleading and deceptive product design and corporate liability, specifically with respect to the gaming and entertainment sectors, has been published in both domestic and international commercial law journals. 

Samuel Jones

Lawyer

Samuel is a financial services regulatory lawyer that has considerable experience on funds management, wealth management, consumer credit and protection, payment services and open banking, fintech and regtech, anti-money laundering and culture. Samuel also advises financial services organisations on corporate governance and risk management matters. He has a particular interest in sustainable finance, responsible investment and culture within financial services.

 

Prior to joining Hamilton Locke, Samuel has worked as a lawyer in the wealth management legal team at Commonwealth Bank, the funds management team at ASIC, and most recently a global firm Eversheds Sutherland in Dublin. Samuel has also advised the United Nations' Sustainable Stock Exchange initiative.

Calyb is a South African qualified banking and finance lawyer in our finance team with experience in corporate finance and project finance.

 

Calyb has acted for financial institutions as well as corporate clients, both in Australia and internationally.

Prior to joining Hamilton Locke, Nick worked in the legal team at a leading independent trustee providing services to Australian and international fund managers.

 

Nick's experience has included project managing the establishment of registered and unregistered managed investment schemes and early stage venture capital limited partnerships, the preparation and review of transaction documents, and the development and oversight of a range of AFSL compliance activities.

Marika White

Marika is an experienced company secretary with clients across a variety of industries including technology, health, education, human resources, construction and luxury goods.  

 

She has worked with organisations in the Australian and international markets including China, USA, UK, Canada, Indonesia, Singapore and the Middle East and previously held an in-house role at Saudi Aramco, the world's largest oil company in Saudi Arabia.  

 

Marika has significant experience in the public, private and not-for-profit sectors and, combined with her strong understanding of the public and investor relations space, advises her clients on how to ensure their corporate governance requirements are executed effectively and guides them through major company projects including, but not limited to, capital raisings, IPOs, investor roadshows and share plans.

Robyn di Cristoforo

Robyn has more than 15 years' experience in corporate administration including company secretarial, compliance and governance.
